Terms of Use for the Inspiration Website

These Terms of Use are phrased in the masculine gender for convenience only, but all information is intended for both women and men alike.
Any person browsing and/or using this website in any manner (the “User”) is required to read carefully and thoroughly the rules detailed in these Terms of Use and the Privacy Policy at https://inspirationgroup.co.il/privacy-policy of the Inspiration Group website (the “Terms” and the “Website,” respectively), prior to any use of the Website.
A User who does not agree to the Terms, in whole or in part, is requested to cease browsing or using the Website. It is clarified that by the very act of browsing and/or using the Website, the User unreservedly accepts all provisions of these Terms of Use and the Inspiration Privacy Policy, including all resulting obligations, and agrees to them in full—unless there are uses and processing concerning personal information that require prior approval, which shall be regulated separately in accordance with the provisions of the Website’s Privacy Policy.
1. General
1.1. The Website is an official site of Inspiration Real Estate Development Ltd., CIN 51-450681-5, and/or anyone on behalf of Inspiration (“Inspiration” or the “Company”), and serves all its customers who are residents of the State of Israel browsing the Website.
1.2. Inspiration is the owner and operator of the Website, which offers users, among other things, information regarding Inspiration itself, the projects it establishes in which investments can be made, and marketing and advertising information regarding Inspiration Real Estate Development Ltd.
1.3. The headings in these Terms are for convenience purposes only and shall not be considered in the interpretation of any provision thereof.
1.4. The User declares and undertakes that they are aware of the provisions of these Terms, have read them, understood everything stated therein, and agree to all provisions without exception; further, that neither they nor anyone on their behalf shall have any claim, lawsuit, or demand, directly or indirectly, against Inspiration and/or anyone on its behalf in connection with the Website and/or the information detailed therein.
1.5. These Terms apply to the use of the Website and the content included therein, via computer or any other communication device, including mobile phones, handheld computers, tablets, etc. Furthermore, the provisions of these Terms apply to the use of the Website both via the Internet and via any other network or means of communication.
1.6. For the avoidance of doubt and without derogating from the provisions of these Terms, the Website and the content presented therein are provided “AS IS” and “AS AVAILABLE,” without obligations of any kind on the part of Inspiration. Inspiration expressly disclaims any warranty, express or implied, regarding the content and any information presented on the Website, including, but not limited to, that the Website will be error-free or that all errors therein will be corrected; and/or regarding the accuracy, quality, completeness, or usefulness of any information provided on the Website.
1.7. Inspiration reserves the right, at its sole discretion, to make changes to these Terms and/or the Website, including but not limited to its structure and/or design, and/or to cease, change, or condition the services or activities on the Website, in whole or in part, and/or to change the dates on which services will be provided and/or the times the Website may be used. In making such changes, Inspiration shall be entitled, among other things, to add or remove content and/or services existing on the Website and/or to limit their use without prior notice. The User declares that they shall have no claim, lawsuit, or demand against Inspiration and/or anyone on its behalf for making such changes and/or for malfunctions occurring during their execution. Any such change and/or addition shall take effect and apply to every User immediately upon publication. Any action performed on the Website after such publication shall be subject to the updated version. Therefore, Inspiration recommends that users read the Terms in their updated version before using the Website.
1.8. These Terms, as updated from time to time, constitute an agreement between the User and Inspiration and regulate the relationship between the User and Inspiration, including any use made of the Website and the submission of details within the framework of such use.
1.9. The use of certain services on the Website may be subject to additional provisions and/or rules appearing on the Website adjacent to the relevant service, which shall not derogate from the provisions of these Terms.
1.10. Use of the Website constitutes confirmation that the User understands, is aware of, and agrees that Inspiration will collect certain identifying data about them within the framework of the Website, which may include personal information that may personally identify them. Inspiration will use this data only in accordance with our Privacy Policy.

2. Use of the Website
2.1. Use of the Website, its services, and the content therein is for private and personal use only. It is prohibited to perform any action intended to harm and/or constitute a violation of the provisions of these Terms and/or the provisions of the law and/or that may derogate from any rights of Inspiration and/or any third party.
2.2. It is prohibited to use the Website for commercial purposes and/or for any illegal or prohibited purpose, including identifying as or impersonating any person or entity and/or providing a false description.
2.3. Without derogating from the generality of Sections 2.1 and 2.2 above, it is prohibited to copy, embed, reproduce, modify, scrap information, perform reverse engineering, edit, distribute, transfer, sell, disassemble, or reassemble any of the code components making up the Website, as well as performing such actions regarding the hardware and software of the Website and the content appearing on the Website from time to time, including but not limited to news, data, images, verbal, audio, visual content, or combinations thereof (“Content”), and/or making any change to the Content, whether for private use or commercial purposes.
2.4. The User undertakes not to interfere with or damage the Website and its activity. This includes an undertaking not to perform any of the following actions:
Uploading, sending, or transmitting any material containing a computer virus or other computer code designed and/or likely to destroy, interfere with, or limit the use of any of the computers, servers, hardware, or software used by Inspiration for the Website.
Distributing “spam” to the Website’s servers or flooding them with any other mail.
Placing the Website, or any part thereof, within a frame of another site, or as part of another site and/or any application (mirroring), without Inspiration’s prior written consent.
Using any robot, “worm,” “spider,” retrieval engine, or any other automated or manual tool designed to index, retrieve, and locate information on the Website, or such tools designed to expose the database structure and Website code.
2.5. Without derogating from the generality of Sections 2.3 and 2.4 above, it is prohibited to use the Content in a manner exceeding the conditions detailed in these Terms without Inspiration’s prior written consent.
2.6. The User undertakes to indemnify and compensate Inspiration and anyone on its behalf against any claim and/or demand, including attorney fees and legal expenses, if any, resulting from prohibited use made by a User of the Website, including use of Content appearing on the Website or on linked sites/apps accessed through the Website, or resulting from the consequences of use that violates the Website Terms.
2.7. Inspiration reserves the right to take all legal and lawful measures at its disposal against anyone who violates its rights and/or the provisions of these Terms.
3. Limitation of Liability
3.1. The Website may include information about a variety of investment projects in various countries in which Inspiration and/or its affiliated companies are involved. In any case of contradiction between information appearing on the Website pages and the investor registration documents and/or financial reports and/or documents transferred to the User after registering as an investor (the “Governing Documents”), the provisions detailed in the Governing Documents or information provided to the User by an official representative of the Company (when contacting them through the official contact means on the Website) shall prevail.
3.2. The Company may change or replace the information, content, and images on the Website from time to time as it sees fit. The Company does not guarantee that information found on the Website at a certain time will continue to be published there in the future.
3.3. Inspiration does not guarantee that the information and/or service on the Website will be uninterrupted, provided regularly without breaks, or that no disruptions or malfunctions will occur. In such a case, Inspiration shall not bear any responsibility toward the User and/or anyone on their behalf.
3.4. Inspiration and/or anyone on its behalf shall not bear any responsibility toward the User, and the User shall have no claim, lawsuit, or demand against Inspiration and/or anyone on its behalf in connection with the following damages:
Any damage and/or loss and/or expense of any kind and/or injury and/or inconvenience and/or mental anguish caused or likely to be caused to the User;
Interruption, malfunction, and/or cessation in the transmission of information to or from the Website;
Injury and/or damage caused as a result of a virus, bug, and/or other components that may damage the personal computer and/or any other device of the User while using the Website;
Injury and/or damage and/or disruption and/or loss caused as a result of using any of the Website content and/or the services found therein.
3.5. Inspiration is not responsible for damage of any kind or type including, but not limited to, the occurrence of any of the events and/or factors detailed below:
Lateness and/or delay due to load on communication lines;
Disruption and/or omission and/or error and/or inaccuracy resulting from disruption and/or malfunction in communication means, hardware, software, the computer system of the User or of Inspiration, or for any other reason.
3.6. Inspiration is not responsible for any illegal activity carried out, if at all, by any of the Website users and/or any other party.
3.7. Inspiration has the right to prevent or terminate, without notice and without providing any reasoning, the access of any User to the Website, in whole or in part, and the User shall have no lawsuit, claim, or demand against Inspiration in this matter.
3.8. Without derogating from the above, Inspiration and/or anyone on its behalf shall not bear responsibility for actions of any kind performed by Website users or third-party users, nor for any reliance by a User and/or any third party on any content, information, advertisements, and data presented or published on the Website and/or on sites to which a referral is possible, including information, content, opinions, and positions presented or published there.
3.9. Without derogating from the generality of Section 3.8 above, the information presented on the Website does not constitute a substitute for independent examination of projects, investment opportunities, and/or marketing information and data appearing on the Website by the User independently or with Company representatives by directly contacting our representatives; one should not rely solely on general data published on the Website and/or on third-party sites and/or applications.
3.10. The Website must not be displayed in a design or graphic interface different from those designed for it by Inspiration, except subject to obtaining the Company’s prior written consent.
4. Links to External Sites
4.1. The Website uses links to external websites from time to time (“Links”). It is hereby clarified that Inspiration does not support these sites and is not responsible for the content provided therein. If such links are found on the Website, they are intended for the User’s convenience only.
4.2. Inspiration is not responsible and shall not be responsible in any way for the Links and/or the linked sites and/or the information appearing therein. Any use and/or entry into Links and/or linked sites is at the User’s sole responsibility and is subject to the terms of use set forth on that site.
4.3. Without derogating from the above, this includes the investor portal operated on the infrastructure of the Israeli company AGORA and/or social media sites (even if these are Inspiration’s pages on those social media platforms).
5. Ownership and Copyrights
5.1. The copyrights on the Website (including copyrights, distribution rights, trade secrets, and any other intellectual property), and in any other module associated with the Website, are the exclusive property of Inspiration alone—or, in cases where they are presented on or through the Website by third parties, the property of those third parties only—and the User shall have no right therein.
5.2. One may not copy, distribute, publish, sell, reproduce, transmit, photograph, or modify in any way the information appearing on the Website or any part thereof without Inspiration’s prior written consent. A User shall only be entitled to download information from the Website for the User’s personal use and not for any other purpose. This provision applies whether the information or part of it is owned by Inspiration or by a third party.
5.3. The intellectual property on the Website, including copyrights and/or trademarks and/or designs and/or patents and similar rights on the Website, including the design of the Website, software, applications, graphic files, texts, images, technologies, processes, content, icons, computer code, and any other material included in the Website (“Website Content”), is under the full and exclusive ownership of Inspiration or third parties from whom Inspiration has received a lawful license for use.
5.4. The User undertakes not to remove, obscure, disable, and/or modify any notice and/or signs associated with intellectual property rights and/or the exclusive rights of the Company and/or third parties who granted a license to the Company, whether these notices/signs are attached to, included in, or linked in any way to them.
5.5. Inspiration reserves all its rights and property in the Website Content, and the mere entry into the Website does not grant any license and/or right in the Website Content or any part thereof. Inspiration names and the Website domain name, including all Inspiration trademarks, are under the full and exclusive ownership of Inspiration, and entry into the Website does not grant any license and/or right therein.
5.6. To link to or display the Website on other websites on the Internet and/or in other applications, prior written approval must be obtained from Inspiration.
6. Jurisdiction Clause
Any conflict and/or dispute in connection with these Terms and/or the Website and/or the use thereof and/or the services, if and to the extent they arise, shall be clarified according to the laws of the State of Israel only, and exclusively in the competent court in the city of Haifa, which is granted unique and exclusive jurisdiction.
7. Termination of Engagement
7.1. Inspiration reserves the right, at its sole discretion, to cease, remove, change, and/or limit (as applicable) features, applications, services, and/or content included in the Website or part thereof and/or to stipulate conditions regarding them, without the need to explain and/or notify anything.
7.2. Inspiration reserves its exclusive right to refuse to grant access to the Website at its sole discretion and without prior notice.
7.3. Inspiration shall be entitled to terminate engagement with the User at its sole discretion and without prior notice. Upon termination and/or cancellation of the engagement, the User is required to immediately cease making use of this Website.
7.4. Inspiration shall be entitled to cease providing services to the Website and/or cease operating the Website, in whole or in part, at its sole discretion, temporarily or permanently, without giving prior notice and without acting for any backup of the Website content or any part thereof.
7.5. By the very use of the Website, the User hereby irrevocably waives any claim, lawsuit, or demand against Inspiration and/or anyone on its behalf in connection with changes to the Website, cessation of Website activity temporarily or permanently, and/or in connection with cessation, removal, change, and/or limitation by Inspiration and/or anyone on its behalf of features, applications, services, content, and/or anything else included in the Website.
8. Additional Conditions
8.1. To the extent that a certain provision in these Terms of Use and/or the Privacy Policy on the Website is found to be illegal, void, or unenforceable for any reason, this provision shall be deemed severed from the rest of the provisions and shall not affect the validity, legality, and enforceability of the remaining provisions.
8.2. Any right not expressly granted to the User shall be reserved to Inspiration and/or anyone on its behalf
